It goes straight to our deals desk and someone from Capital Toolkit follows up, typically within one business day, to talk through what you're looking for and the next steps.

Is Capital Toolkit a broker?

We are a Canadian advisory firm. On a Market transaction we introduce buyers and sellers confidentially, prepare the valuation and financial analysis, and help structure and arrange the financing. We do not trade, deal in, or advise on securities, and we are not registered as a dealer or adviser under Canadian securities legislation. We are not a real estate brokerage, so where a transaction includes real property, that part is handled by a brokerage registered in that province. We do not give legal or tax advice or hold any of the closing funds, which move between the parties through their own lawyers.

Does it matter whether I buy the shares or the assets?

It matters a great deal, and it is the first thing to raise with your own advisers. A share sale and an asset sale carry different tax, legal, and regulatory consequences for the buyer and the seller, and the better structure for one side is often the worse one for the other. We will tell you how each is usually handled and make sure the financing works either way. What the right answer is for your situation is a question for your lawyer and accountant.

What does Capital Toolkit charge for this?

Nothing, at this time. Capital Toolkit does not currently charge a fee to buyers or sellers on a Market introduction. That is a current position rather than a permanent one, so it is worth saying plainly how a change would work: any fee would be set out and agreed with you in writing before it applied to anything, so you will not meet a charge you did not agree to. There is no obligation in reaching out either way.

Is selling confidential?

Yes. Discretion is the default, there's no public listing unless you want one, and your name and financials stay private until a qualified buyer has signed an NDA and you've approved them.

Only vetted, qualified buyers, under NDA, and only once you've approved who advances. You stay in control of who learns your identity, who sees the numbers, and when.

We use Capital Toolkit's valuation and financial tools to establish a defensible number, so you go to market from evidence rather than a guess. The final asking price is always your call.

The listings on the site today are illustrative samples that show how the Market works, they're clearly labelled as samples and are not live businesses for sale. Real listings are being onboarded; tell us your target and we'll be in touch as inventory comes online.

Yes, financing is our home turf. We know the government-backed (CSBFP) and private-capital landscape, so we can help structure the funding and your offer can arrive with the capital behind it.
