By accessing or using capitaltoolkit.com or our services (the “Site” or “Services”), you agree to these Terms. If you do not agree, do not use the Site.

Beta Notice

This notice applies while the Site is in beta.

There are no refunds. All sales are final. This is a beta, and it may be wrong. Features are incomplete, may change or be withdrawn without notice, and may produce results that are incorrect, incomplete, or out of date. Calculations, checklists, scorecards, analyses, and generated documents have not been finalised or independently verified, and should be treated as drafts for discussion only.
Do not rely on this site for any compliance, tax, filing, or regulatory purpose. Many industries are subject to compliance audits and inspections, and certain tax preferences, elections, registrations, and deadlines can be lost or prejudiced if a filing, deadline, calculation, or record is missed, late, or incorrect. Nothing on this site is a filing, a record or confirmation of a filing, a book or record of account, or evidence of compliance with any obligation. Meeting your obligations, and meeting them on time, remains entirely your responsibility.
Nothing here is professional advice, and using this site creates no professional relationship. Using this site does not create an accountant-client, solicitor-client, agency, fiduciary, or advisory relationship, and no one at Capital Toolkit is acting as your accountant, lawyer, or adviser through it. Continue to rely on your own qualified professional advisers, and satisfy yourself independently before acting on anything you see here. If you are a professional using this site in your own practice, you remain solely responsible for your professional, regulatory, and licensing obligations and for any work you deliver to your clients.
Nothing you enter here is maintained. Data, documents, and work in progress may be changed, reset, migrated, or deleted at any time during beta, without notice, and without a backup you can recover from. Keep your own copy of anything you need. Do not let this site be the only place any record exists, and keep your official books and records somewhere else.
Do not give anything produced here to a third party as final. Do not submit or present anything generated on this site to a regulator, tax authority, lender, court, insurer, counterparty, or your own client as final, authoritative, or verified, unless a qualified professional has independently checked it first.
The site is provided “as is”, with no warranties and no availability commitment. During beta the site is provided on an “as is” and “as available” basis, without warranty or condition of any kind, whether express, implied, or statutory, including as to accuracy, completeness, currency, security, merchantability, fitness for a particular purpose, or uninterrupted or error-free operation. The site may be unavailable, interrupted, degraded, or reset at any time. Do not build a deadline around it.
You use the beta at your own risk. To the fullest extent permitted by applicable law, you agree that you use this site during beta at your own risk, and that Capital Toolkit and its personnel are not liable for any loss or damage arising out of your use of, or reliance on, the site or anything produced by it, including lost, corrupted, or deleted data, missed deadlines, lost tax preferences or elections, penalties or interest, business losses, or professional liability to your own clients. Nothing in this notice excludes or limits any liability that cannot be excluded or limited under applicable law.

This notice is in addition to, and does not replace, the rest of these Terms of Service and our Privacy Policy. Where this notice and the rest of these Terms differ about the beta, this notice governs the beta.

1. About us and scope

YBAWS! Inc. (“Capital Toolkit,” “we,” “us”) provides a platform to help businesses organize financial information and prepare financing applications. We are not a lender, broker, or provider of professional accounting or legal advice. For bespoke financing and advisory engagements (CSBFP applications, Alternative Funding Options), a binding professional relationship is formed upon signing a separate engagement letter. For self-serve subscription modules, these Terms and your checkout confirmation govern the relationship. We also operate Capital Toolkit Market, a listing service connecting business owners with prospective buyers; the scope-of-services disclosure shown on Market pages governs that use and is incorporated into these Terms by reference.

2. No guarantees

We do not guarantee loan approval, terms, amounts, or timelines. Lender decisions are theirs alone.
All content is for general information and educational purposes only.
You are responsible for the accuracy and completeness of all information you provide.

3. User obligations

You agree to:

Provide true, accurate, and current information.
Update material changes promptly.
Use the Site only for lawful purposes and not for fraud or misrepresentation.
Maintain confidentiality of your account credentials.

We do not perform KYC/AML verification. That responsibility rests with the lender and any engaged professionals.

4. Intellectual property and ownership of data

All Site content is owned by us or our licensors. Limited personal or business use is allowed; commercial republication requires permission.

You own your inputs and deliverables. You retain ownership of the financial records, documents, datasets, and other information you submit (“Client Inputs”) and of the finished reports and outputs we issue to you (“Deliverables”). You grant YBAWS! Inc. a worldwide, non-exclusive, royalty-free licence to host, process, and analyze Client Inputs as necessary to operate the platform, provide the Deliverables, and create de-identified and aggregated data.

We own the methodology. The platform and the methodology that powers it, the questions and their structure, sequencing, and contextual relationships; the module workflows; and the models, scoring logic, software, working papers, and intermediate calculations (“Working Materials”), remain the exclusive, proprietary property of YBAWS! Inc.. Using the platform grants you no ownership interest in them.

Use of data; no sale. We use Client Inputs to operate the platform and produce your Deliverables, and use de-identified and aggregated data to maintain and improve the methodology and models. We do not sell or rent identifiable client data to any third party for their own commercial purposes, and we will not do so.

5. Privacy

Your privacy is governed by our Privacy Policy, which is incorporated by reference. By using the Site, you consent to the collection, use, and sharing of information as described there.

6. Fees and engagements

For bespoke engagements, fees and scope are set out in a separate signed engagement letter (which supersedes these Terms for that engagement). For subscription modules, pricing is set at checkout and billed monthly as described in our Sales & Cancellation Policy. Published prices are indicative only.

7. Acceptable use and prohibitions

You will not scrape, hack, or disrupt the Site; submit false information; or use the Site to violate laws.

8. Limitation of liability and disclaimers

To the maximum extent permitted by law:

The Site is provided “as is” without warranties.
We are not liable for indirect, consequential, or punitive damages.
For engaged clients, our liability is limited to the fees paid for the specific engagement (except where law prohibits).

9. Termination

We may suspend or terminate access for violations. You may stop using the Site anytime.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada. Disputes shall be resolved exclusively in the courts of Ontario.

11. Changes

We may update these Terms. Continued use after changes constitutes acceptance.
